These Terms of Service (“Terms”) are a legally binding agreement between you or the organization you represent (“Customer,” “you,” or “your”) and Jakka, Inc., a Delaware corporation (“Jakka,” “we,” “us,” or “our”). They govern your access to and use of Jakka websites, applications, website-acceptance functionality, AI functionality, APIs, integrations, browser extensions and related products and services.
1. About Jakka
Jakka provides an AI-powered requirements-to-release website acceptance and delivery-assurance platform designed to operate between client approval and website release. Jakka may convert approved project inputs—including briefs, content, business information, brand requirements, client or partner guidelines and functional expectations—into project-specific acceptance checks, then validate delivered websites, provide evidence and findings, support correction and re-testing, and provide ongoing assurance.
2. Services
Depending on plan, configuration and availability, Jakka may provide requirements-to-release acceptance, project-specific acceptance plans, client-brief validation, content and business-information validation, brand and guideline validation, website quality checks, functionality, forms and journey testing, SEO-related testing, accessibility-related testing, responsive and UX testing, performance testing, security-configuration checks, migration comparison, evidence capture, issue classification, recommendations, correction workflows, re-testing, monitoring, reports, white-label functionality, APIs, webhooks, MCP functionality, integrations, browser extensions and AI functionality. Not every capability or test applies to every website, page, subscription or environment.
3. Eligibility
You must have legal capacity to enter into these Terms. If using Jakka on behalf of an organization, you represent that you have authority to bind that organization. Jakka is primarily intended for business and professional use.
4. Accounts and Organizations
You must provide accurate account information, protect credentials, maintain appropriate access controls and notify Jakka promptly of suspected unauthorized access. Customers are responsible for users they authorize and for determining appropriate roles, permissions and access to Customer Content.
5. Authorization to Assess Websites
You may submit, connect, assess, monitor or test a website only where you own it, operate it, manage it, have authorization from its owner or responsible party, or otherwise have lawful authority. You must not use Jakka for unauthorized reconnaissance, vulnerability exploitation, penetration, disruption, credential attacks, access, surveillance or security testing.
6. Customer Content
Customer Content includes information submitted, uploaded, connected or otherwise made available by or for Customer, including briefs, sitemaps, content, business information, brand kits, logos, imagery, guidelines, CMS instructions, functional requirements, acceptance criteria, credentials, source websites, migration information and files. Customer retains ownership. Customer grants Jakka a limited, non-exclusive, worldwide right to host, reproduce, process, analyze and transmit Customer Content as reasonably necessary to provide the Services, follow Customer instructions, maintain security, provide support, prevent abuse and comply with law.
7. Personal Data
Customer is responsible for ensuring that Personal Data supplied to Jakka is processed lawfully. Where Jakka acts as Customer's processor/service provider, the applicable Data Processing Addendum governs that processing.
8. Jakka Intellectual Property
Jakka and its licensors retain all rights in Jakka software, platform technology, acceptance methodology, test frameworks, algorithms, models, workflows, interfaces, documentation, designs, templates, trademarks, know-how and other Jakka technology. No rights are transferred except as expressly stated.
9. Requirements-to-Release Acceptance
Jakka may transform project information into project-specific acceptance checks covering approved pages, content, business information, products/services, imagery, brand requirements, terminology, functionality, forms, customer journeys, mandatory information and other supplied requirements. Jakka's ability to validate requirements depends on the completeness, accuracy and accessibility of the information provided.
10. Website Quality Checks
Jakka may supplement project-specific acceptance with broader website-quality checks concerning content, UX, functionality, links, forms, responsiveness, SEO, accessibility, performance, security configuration and customer journeys. Not every available test runs against every website or page.
11. Acceptance Evidence
Jakka may provide requirement identifiers, source references, expected results, observed results, statuses, affected URLs, screenshots, evidence, issue severity, recommended corrections, assignments, re-test information and acceptance history. Acceptance evidence assists Customer review but does not guarantee every defect or discrepancy has been detected.
12. Artificial Intelligence
Certain Services use AI to interpret requirements, generate acceptance checks, analyze websites, compare expected and observed delivery, classify findings, generate recommendations, assist with content or metadata and summarize results. AI output can contain errors, false positives, false negatives or incomplete conclusions. Customer is responsible for appropriate human review. Unless expressly agreed otherwise, Customer Content is not used to train generalized third-party foundation models.
13. Automated Fixes and Assisted Corrections
Where available, Jakka may recommend, generate or apply corrective actions. Customer remains responsible for authorizing applicable actions, reviewing material changes, ensuring the correct environment is targeted, maintaining appropriate backups, verifying changes and approving production release.
14. Re-Testing
Where supported, Jakka may re-test an identified requirement or issue after correction. A successful re-test reflects the state observed during that re-test and does not guarantee permanent correctness, absence of unrelated issues, future third-party behavior or prevention of subsequent regression.
15. Monitoring
Where monitoring is enabled, Jakka may periodically reassess websites or configured conditions. Monitoring does not guarantee continuous observation, real-time detection, immediate notification, uninterrupted operation or detection of every change.
16. Migration Assistant
Migration functionality may compare source and target websites across supported pages, content, images, assets, links, forms, metadata, structure and functionality. Results assist with acceptance and QA but do not replace final Customer approval, SEO migration review, platform-specific review, security review or other professional validation.
17. Accessibility
Jakka may identify certain accessibility-related conditions. Automated and AI-assisted testing cannot identify every accessibility issue. Jakka does not provide legal advice and does not guarantee compliance with WCAG, ADA, European accessibility legislation or other accessibility standards.
18. Security Checks
Jakka may identify observable security-related conditions such as configuration signals, security headers, SSL/TLS-related conditions, mixed content or certain outdated components. Unless separately contracted, Jakka is not a penetration-testing service, exhaustive vulnerability assessment, security certification or guarantee against compromise.
19. SEO and Performance
SEO and performance findings are informational. Jakka does not guarantee search-engine ranking, indexing, traffic, leads, conversions, revenue, Core Web Vitals or a particular performance score.
20. Chrome Extension
Jakka may provide a browser extension allowing users to initiate assessments from webpages they explicitly select. The Extension may process the active page URL and limited technical, session and anti-abuse information necessary to provide its disclosed functionality. By initiating an assessment, you represent that you are authorized to assess the submitted website.
21. Chrome Extension Restrictions
You may not use the Extension to assess systems without authorization, circumvent usage restrictions, automate abusive assessments, conduct unauthorized surveillance, exploit vulnerabilities, interfere with systems, collect information unlawfully or violate third-party rights.
22. Browser Fingerprinting and Abuse Prevention
Jakka may use pseudonymous browser identifiers, CAPTCHA, rate limits and other reasonable technical measures to prevent fraud and abuse, protect free assessments, prevent automated misuse, protect infrastructure and enforce legitimate usage restrictions. These controls must not be circumvented.
23. Extension Permissions
The Extension may request browser permissions reasonably necessary to provide its disclosed functionality. Jakka seeks to use the narrowest permissions reasonably necessary. Future functionality requiring materially different permissions may require updated disclosures and browser authorization.
24. APIs, MCP, Webhooks and Integrations
Customers are responsible for securing API credentials and keys, ensuring authorized use, securing webhook endpoints and integration destinations, and ensuring they have authority to disclose transmitted information. Customers may not bypass rate limits or technical restrictions.
25. Third-Party Services
Third-party services are governed by their respective providers. Jakka is not responsible for third-party availability, functionality, security, modifications, terms, data practices or interruptions.
26. Acceptable Use
You may not use Jakka to violate law, infringe intellectual-property or privacy rights, gain unauthorized access, distribute malware, conduct attacks, steal credentials, bypass security controls, interfere with Jakka, abuse automated functionality, circumvent usage restrictions, submit unlawful material, reverse engineer prohibited components, resell unauthorized access or use Jakka for deceptive, fraudulent or harmful purposes.
27. Subscription Plans
Plans may include limits concerning pages, assessments, usage, credits, Jakka Tokens, retention, monitoring, API access, integrations, reports and features. Current applicable limits are those shown at purchase, in the application, an applicable Order Form or other binding commercial agreement.
28. Jakka Tokens / Credits
Jakka Tokens, credits or similar usage entitlements represent contractual rights to consume designated Jakka functionality and are not currency, cryptocurrency, securities, stored monetary value or redeemable for cash unless Jakka expressly states otherwise.
29. Free Services
Jakka may provide free assessments, plans, trials or promotional access. Free Services may have usage limits, reduced functionality, different retention, and may be modified, suspended or discontinued. Free Services are not subject to an SLA unless expressly stated.
30. Fees, Taxes, Renewal and Pricing Changes
Paid Services are billed according to the purchase interface, Order Form or commercial agreement. Customer authorizes Jakka and its payment provider to collect applicable charges and taxes. Except where required by law or expressly agreed otherwise, amounts properly charged are non-refundable. Renewal and pricing changes will be handled according to the applicable purchasing arrangement and law.
31. Confidentiality
Each party will use reasonable measures to protect non-public business, commercial and technical information received from the other and use it only for the applicable relationship, except where disclosure is lawfully required or the information is independently developed or lawfully public.
32. Privacy and Data Protection
Jakka's handling of Personal Data is described in the Global Privacy Policy. Where Jakka processes Personal Data on behalf of Customer, the applicable Data Processing Addendum governs. If the DPA conflicts with these Terms regarding Customer Personal Data, the DPA controls.
33. Security
Jakka will maintain safeguards appropriate to the nature of the Services and information processed. No system is completely secure. Specific security commitments contained in an executed Enterprise agreement or security addendum control where applicable.
34. Customer Security Responsibilities
Customer is responsible for protecting credentials, managing users, revoking unnecessary access, securing API keys, securing integrations, protecting staging credentials and promptly reporting suspected compromise.
35. Feedback
If Customer voluntarily provides ideas, suggestions or feedback, Customer grants Jakka the right to use that feedback without restriction or compensation. This does not transfer ownership of Customer Content.
36. Beta, Preview and Roadmap Features
Beta, preview, experimental, early access or similar features may be incomplete, contain defects, change materially or be discontinued. Statements about planned or future features do not constitute a contractual commitment unless expressly included in an executed agreement.
37. Service Availability
Jakka seeks to maintain reliable Services but does not guarantee uninterrupted availability unless an applicable executed SLA expressly provides otherwise. Interruptions may occur due to maintenance, infrastructure failures, third-party services, security events, force majeure, network conditions or circumstances outside Jakka's reasonable control.
38. Suspension
Jakka may suspend Services where reasonably necessary to protect security, prevent abuse, comply with law, address material non-payment, prevent harm or address a material breach. Where reasonably practicable, Jakka will provide notice.
39. Termination and Effect
Customer may terminate or cancel Services according to the applicable subscription arrangement. Jakka may terminate for material breach, unlawful use, repeated abuse, persistent non-payment or another ground permitted by law or agreement. Upon termination, access ends, outstanding amounts remain payable and applicable retention/deletion processes begin.
40. Data Export and Deletion
Customers should export required information before retention periods expire. Customer Content will be retained and deleted according to the applicable plan, Privacy Policy, DPA, Order Form and legal requirements. Backup copies may remain temporarily through ordinary backup lifecycles.
41. Changes to the Services
Jakka may modify Services as the platform evolves. Where appropriate, Jakka will provide reasonable notice of material changes affecting paid Services, except where changes are necessary for security, legal compliance or urgent technical reasons.
42. No Professional Advice or Compliance Guarantee
Jakka provides technology and information, not legal, regulatory, accounting or professional compliance advice. A Jakka result, report, score, acceptance status or re-test does not itself establish compliance with any law, regulation, contractual obligation, security standard or accessibility standard.
43. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” JAKKA DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. JAKKA DOES NOT WARRANT THAT EVERY DEFECT WILL BE DETECTED, EVERY REQUIREMENT WILL BE INTERPRETED CORRECTLY, RESULTS WILL ALWAYS BE ACCURATE, AI OUTPUT WILL BE ERROR-FREE, SERVICES WILL BE UNINTERRUPTED, RECOMMENDATIONS WILL PRODUCE A PARTICULAR OUTCOME, OR USE OF JAKKA WILL ESTABLISH LEGAL, SECURITY, ACCESSIBILITY, SEO OR REGULATORY COMPLIANCE.
44. Customer Indemnification
To the extent permitted by law, Customer will defend and indemnify Jakka from third-party claims arising from Customer Content, unauthorized website assessment, Customer's unlawful use, infringement of third-party rights or material violation of these Terms. An executed Enterprise agreement may modify this provision.
45. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, REVENUE, GOODWILL OR DATA. EXCEPT FOR LIABILITY THAT CANNOT LEGALLY BE LIMITED AND SUBJECT TO ANY EXECUTED ENTERPRISE AGREEMENT, JAKKA'S AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE BY CUSTOMER FOR THE APPLICABLE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. [FINAL FREE-USER LIABILITY CAP TO BE APPROVED BY LEGAL COUNSEL.]
46. Mandatory Rights
Nothing in these Terms limits consumer, privacy or other statutory rights that applicable law does not permit the parties to waive.
47. Export Controls and Sanctions
Customer may not access or use Jakka in violation of applicable export-control laws, trade sanctions or restricted-party laws.
48. Governing Law
Unless an executed agreement provides otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Mandatory statutory rights remain unaffected where they cannot lawfully be waived. [FINAL VENUE AND/OR ARBITRATION LANGUAGE TO BE APPROVED BY U.S. COUNSEL.]
49. Enterprise Agreements
Enterprise customers may enter into Order Forms, Master Services Agreements, DPAs, SLAs, security addenda or other agreements. Where provisions conflict, the specifically executed agreement controls to the extent of the conflict. For Personal Data processing, the DPA controls over inconsistent general Terms.
50. Assignment and Force Majeure
Customer may not assign these Terms except as permitted by law or with Jakka's written approval. Jakka may assign these Terms in connection with merger, acquisition, corporate restructuring, financing or sale of substantially all relevant assets. Neither party will be liable for delay or failure caused by circumstances beyond its reasonable control, except obligations that applicable law does not permit to be excused.
51. Changes to These Terms
Jakka may update these Terms as Services evolve, laws change, security requirements change or business practices change. Where legally or contractually required, Jakka will provide notice of material changes. Continued use after revised Terms become effective constitutes acceptance where legally permitted.
52. Severability, No Waiver and Entire Agreement
If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision does not waive the right to enforce it later. These Terms, together with applicable incorporated policies, Order Forms and executed agreements, constitute the agreement governing the Services.
53. Electronic Communications
Customer agrees that Jakka may provide agreements, notices and other legally permitted communications electronically.
